Job Description
Alchemy is seeking a Staff Attorney to join its Legal Department and support the company’s commercial, vendor, partner, and operational activities. Reporting to the Associate General Counsel, this attorney will serve as a practical, business-minded legal partner to stakeholders across the company and will help Alchemy move transactions forward while managing legal and commercial risk.
This is an excellent opportunity for an attorney who has developed a foundation in commercial transactions and wants to take on increasing responsibility in a collaborative, fast-moving in-house environment. The role will work closely with the Associate General Counsel, General Counsel and the wider business teams to review, draft, revise, negotiate, and manage a broad range of agreements that support Alchemy’s sales, procurement, technology, services, and day-to-day operations.
What you will do:
-
Draft, review, revise, and negotiate customer and sales agreements, master services agreements, statements of work, order forms, amendments, non-disclosure agreements, vendor and procurement agreements, partner and reseller agreements, distribution agreements, and other commercial contracts.
-
Support transactions from intake through signature, including issue spotting, risk analysis, internal approvals, negotiation strategy, execution, and contract recordkeeping.
-
Provide timely, practical, and actionable legal guidance to Sales, Finance, Operations, Information Technology, Security, and other business stakeholders.
-
Help identify and escalate material legal, regulatory, financial, operational, privacy, cybersecurity, intellectual property, and compliance risks.
-
Translate business objectives into clear, workable contract terms and help stakeholders understand key obligations, risks, and proposed resolutions.
-
Develop and improve contract templates, fallback language, negotiation playbooks, approval guidelines, and other resources that promote consistency and efficient deal execution.
-
Support contract lifecycle management, legal intake, matter tracking, reporting, and process-improvement initiatives, including the effective use of legal technology and automation tools.
-
Conduct legal research and prepare concise analyses, contract summaries, and other materials for the Legal Department and business teams.
-
Contribute to other commercial, corporate, compliance, and operational legal matters as needed.
What we are looking for:
-
J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar.
-
Approximately 2–5 years of experience handling commercial transactions and contracts in a law firm, in-house legal department, or comparable environment.
-
Demonstrated experience drafting, reviewing, revising, and negotiating commercial agreements.
-
Strong legal writing, contract-interpretation, issue-spotting, and negotiation skills.
-
Sound judgment and the ability to distinguish routine issues from matters that require escalation.
-
A practical, solutions-oriented approach that balances legal risk with business priorities and execution speed.
-
Ability to manage multiple matters, deadlines, and stakeholders with strong organization and attention to detail.
-
Ability to communicate complex legal concepts clearly to non-lawyers and collaborate effectively with colleagues at all levels.
-
Ability to work independently while seeking guidance appropriately and incorporating feedback.
-
Comfort working remotely with distributed teams and using standard collaboration, document-management, and contract-management tools.
Preferred qualifications:
-
Experience supporting an IT reseller, technology distributor, systems integrator, managed-services provider, software company, or other technology-focused business.
-
Familiarity with software licensing, SaaS, cloud services, professional services, hardware or equipment sales, data protection, cybersecurity, or intellectual property issues.
-
Experience creating or improving contract templates, playbooks, approval processes, or legal-operations workflows.
-
Experience supporting vendor management, procurement, channel partners, strategic alliances, or reseller/distribution relationships.
